1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Planbetr ("we", "us", or "our") governing your access to and use of the Planbetr platform and all associated services (the "Service").

If you are using the Service on behalf of an institution, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

2. Description of Services

Planbetr is an academic scheduling and workspace management platform designed for educational institutions. The Service includes, but is not limited to:

• Timetable Generation — intelligent scheduling with conflict detection and optimization for academic departments, classrooms, and teaching staff.
• Appointment Booking — streamlined scheduling workflows for events, meetings, and consultations.
• Workspace Management — collaborative environments where institution administrators manage departments, classrooms, lectures, and members.
• Member & Role Management — invitation-based onboarding with granular permission controls for administrators, staff, and collaborators.
• Notifications — real-time alerts and reminders for scheduling updates, bookings, and workspace activity.

We reserve the right to add, modify, suspend, or discontinue any feature or aspect of the Service at any time. Where such changes materially affect your use of the Service, we will make reasonable efforts to notify you in advance.

3. Eligibility

You must be at least 18 years of age and above to create an account and use the Service. By registering, you represent that you meet this age requirement and that all registration information you submit is accurate, truthful, and current.

The Service is primarily intended for use by academic institutions, universities, colleges, and professional organizations, as well as their authorized members. Accounts registered by automated scripts or bots are prohibited and will be suspended without notice.

4. Account Registration and Security

To use certain features of the Service, you must create an account by providing a valid email address and password, or by authenticating through a supported third-party provider (such as Google). You are responsible for:

• Providing accurate and complete registration information and keeping it up to date.
• Maintaining the confidentiality of your account credentials, including your password and any verification codes.
• All activity that occurs under your account, whether or not authorized by you.
• Notifying us immediately at support@planbetr.com if you become aware of any unauthorized access to or use of your account.

You may not share your account credentials with any other person or entity. Accounts are non-transferable and may not be sold, traded, or gifted to a third party.

5. Authorized Use and Prohibited Activities

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose of academic scheduling and institution management, in accordance with these Terms.

You agree not to use the Service to:

• Engage in any activity that violates applicable local, national, or international laws or regulations.
• Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, harassing, discriminatory, or otherwise objectionable.
• Impersonate any person or entity, or misrepresent your affiliation with any institution or organization.
• Attempt to gain unauthorized access to any part of the Service, its servers, networks, or databases, including by probing, scanning, or testing for vulnerabilities.
• Interfere with or disrupt the integrity, security, or performance of the Service or its underlying infrastructure.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service.
• Use automated means (including bots, scrapers, or crawlers) to access, collect, or extract data from the Service without prior written consent.
• Resell, sublicense, or otherwise make the Service available to third parties without our prior written authorization.
• Use the Service to send unsolicited communications (spam) or to promote fraudulent, misleading, or deceptive content.

We reserve the right to suspend or terminate any account that violates these prohibitions, and to report illegal activities to the appropriate authorities.

6. Institution and Workspace Management

Institution administrators ("Admins") are responsible for managing their institution's workspace, including the data they configure (departments, classrooms, lecture schedules, teacher profiles) and the members they invite. Admins accept full responsibility for ensuring that their institution's use of the Service complies with these Terms and any applicable legal obligations.

Planbetr reserves the right to impose reasonable limits on workspace capacity, member counts, and scheduled resources to maintain service quality for all users.

7. User Invitations and Roles

The Service supports role-based access, allowing Admins to invite teachers and other members to join a workspace via email invitations or shared invite links. By accepting an invitation, invited users agree to be bound by these Terms.

Admins are solely responsible for managing member permissions and revoking access when appropriate (e.g., when a member leaves the institution). Planbetr is not liable for any harm resulting from an Admin's failure to timely revoke access.

8. Content and Data Ownership

You retain all rights, title, and ownership in the data and content you upload, create, or configure within the Service ("Your Content"), including timetable data, department structures, lecture information, and scheduling records.

By using the Service, you grant Planbetr a limited, worldwide, non-exclusive, royalty-free license to access, process, store, and display Your Content solely for the purpose of providing and improving the Service to you. We do not sell your data to third parties or use it for advertising purposes.

You represent and warrant that you have all necessary rights to upload Your Content and that it does not infringe any third-party intellectual property rights or violate any applicable law.

9. Intellectual Property

All rights, title, and interest in and to the Service — including its software, design, user interface, logos, trademarks, graphics, and underlying technology — are and remain the exclusive property of Planbetr and its licensors. Nothing in these Terms grants you any right to use the Planbetr name, logo, or other brand features without our prior written consent.

Any feedback, suggestions, or ideas you submit about the Service may be used by Planbetr freely and without obligation, attribution, or compensation to you.

10. Third-Party Integrations

The Service may integrate with third-party services, including:

• Google OAuth— for account sign-in. By authenticating via Google, you agree to Google's Terms of Service and Privacy Policy.
• Zoom— for virtual meeting integration with scheduling features. Connecting your Zoom account is subject to Zoom's Terms of Service and Privacy Policy.
• Cloudinary— for profile image uploads and storage. Image data is processed in accordance with Cloudinary's privacy and security practices.

Planbetr does not control and is not responsible for the practices of these third-party services. Your use of any third-party integration is at your own discretion and risk.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Planbetr expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not warrant that the Service will always be available, accurate, complete, or free from errors, interruptions, or security vulnerabilities. Scheduled maintenance, technical issues, or circumstances beyond our control may result in temporary unavailability.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Planbetr and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profits, loss of goodwill, or business interruption — arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the greater of (i) the amount you paid us, if any, in the twelve (12) months preceding the claim, or (ii) one hundred US dollars (USD $100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Planbetr and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service;
• Your violation of these Terms;
• Your violation of any applicable law, regulation, or third-party right; or
• Any content you upload, submit, or transmit through the Service.

14. Termination

You may delete your account and discontinue use of the Service at any time by following the account deletion process in your account settings.

We reserve the right to suspend or terminate your access to the Service at any time and without prior notice if we determine, in our sole discretion, that you have violated these Terms, engaged in fraudulent or illegal activity, or posed a security risk to the Service or other users.

Upon termination, your right to access and use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — shall continue to apply.

15. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. If the changes are material, we may notify you via email or a prominent notice within the Service.

Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable law. Any dispute arising from or related to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached, both parties agree to submit to the jurisdiction of the competent courts in the relevant jurisdiction.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
